Commercial

Commercial activity is built on contracts — with suppliers, customers, carriers and partners. A good contract anticipates the problem before it arises, which is why we stay with our clients not only at signing but throughout performance.

We draft and negotiate contracts for sale and supply, distribution and commercial agency, services, leases, franchising and licensing, as well as the standard terms on which our clients deal with their counterparties. We review contracts proposed by the other side and state clearly which clauses carry risk and how they should be changed. For companies that need a standing legal partner, we also provide ongoing legal support, so that management does not have to find a different adviser for every question.

We have hands-on experience in trade in goods and in the freight forwarding, transport and logistics that support it: carriage and forwarding agreements, warehousing, liability for damaged and delayed deliveries, and relationships with suppliers and retail chains. In these businesses contracts and regulatory requirements go hand in hand, so we consider them together.

When a counterparty fails to pay or perform, we act quickly: formal notices, acceleration or termination of the contract, interim measures, order-for-payment proceedings — including on the basis of documents — and claims for receivables and contractual penalties. The aim is to recover the debt and, where the client wishes, to preserve the commercial relationship.
